These Terms of Service constitute a legally binding agreement made between you and VDMBIM Pty Ltd ("VDMBIM," "we," "our," or "us"), regarding your access to and use of the vdmbim.com.au website, the BIM Coordination Platform, VDMBIM Nexus, and any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the "Site").
By accessing the Site, you agree to be bound by all of these Terms of Service. If you do not agree with all of these Terms, then you are prohibited from using the Site and must discontinue use immediately.
Supplemental terms or documents that may be posted on the Site from time to time are hereby expressly incorporated by reference. VDMBIM reserves the right, in its sole discretion, to make changes or revisions to these Terms at any time and for any reason.

Any future release, update, or other addition to the functionality of the Site or Services will be subject to the terms of these Terms of Service.
VDMBIM reserves the right, at any time, to modify, suspend, or discontinue the Site or Services, or any part of them, with or without notice. You agree that VDMBIM will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Site or Services, except where otherwise expressly set out in these Terms.
You agree that VDMBIM has no obligation to provide you with support in connection with the Site or Services.
Unless otherwise indicated, the Site is VDMBIM's property. All source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site, and the trademarks, service marks, and logos contained on it, are owned or controlled by VDMBIM or licensed to VDMBIM, and are protected by copyright, trademark, and other intellectual property and unfair competition laws of Australia.
The Content and the Marks are provided on the Site "as is" for your information and personal use only. Except as expressly provided under these Terms, no part of the Site and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without VDMBIM's prior written consent.
VDMBIM is independent of Autodesk, Inc. and is not sponsored, endorsed, or affiliated with Autodesk. Autodesk Revit and Dynamo are products wholly owned by Autodesk. Please refer to Autodesk's own website for specific trademark and copyright information.
Except as set out above, all intellectual property rights, including copyrights, patents, trademarks, and trade secrets in the Site, are owned by VDMBIM or its licensors. Use of the Site and Services does not transfer to you or any third party any rights, including intellectual property rights. VDMBIM and its suppliers reserve all rights not expressly granted in these Terms.
By using the Site, you represent and warrant that:
If you provide any information that is untrue, inaccurate, not current, or incomplete, VDMBIM has the right to suspend or terminate your account and refuse you any current or future use of the Site.
VDMBIM offers licences for free products, educational products, Educational Use, Commercial Use, and Multi-User licences (collectively, the "Services").
Our Free Educational Use Licence is designed for academic purposes. Under this licence, VDMBIM's free products can be used in educational settings, including classroom activities, academic projects, and other learning initiatives. When using a product under this licence, you are required to give full credit to VDMBIM, with an active link back to vdmbim.com.au for online versions. If a project using our product is showcased on social media, you must credit VDMBIM with an active tag to our profile. Commercial use of products under this licence is strictly prohibited.
Products labelled "Educational Use" are exclusively for student use in academic settings. These products are intended to support educational development and must not be used for any commercial purpose.
With the purchase of a Commercial Use Licence, you are authorised to use the product in commercial projects without needing to attribute VDMBIM. The standard prohibitions on reproduction, distribution, and resale set out elsewhere in these Terms and in our Terms of Use continue to apply.
Our Multi-User Licence is tailored for teams and educational institutions, allowing up to 30 users to use our products for the licensed purpose. Redistribution or use outside the licensed scope is not permitted.
Registration of a user account is free of charge, and access to the basic Services is provided free of charge. VDMBIM may, from time to time and at its sole discretion, decide to charge for certain elements of the Services, or introduce further fees and charges for certain features ("Paid Services").
Where VDMBIM does so, it will make clear which Services are free and which are Paid Services. If you purchase any Paid Services, you agree to pay all applicable fees, net of taxes or withholding. You may also be required to agree to specific additional terms. Failure to pay applicable fees will result in termination of the relevant Paid Services.
Nothing in this clause obliges VDMBIM to provide any Paid Services it may or may not introduce in future.
You expressly authorise VDMBIM to charge you for Paid Services purchased and any applicable taxes. If your payment card expires, or you do not update your payment details or cancel your Paid Services, you authorise us to suspend your access to the applicable Paid Services until your payment details are updated, after which we may re-attempt payment processing.
These Terms take effect on the date you first access the Site and remain in force until terminated by VDMBIM or by you as set out below. On termination of these Terms for any reason, you must immediately cease using the Services.
You may terminate these Terms by providing notice to VDMBIM. You may stop using the Services at any time without notice.
VDMBIM may, at its sole discretion, at any time and for any reason (including a period of account inactivity), terminate these Terms, your use of the Services, and/or suspend or terminate your account.
On termination, your account will be disabled and you may lose access to your account and any files or content contained in it, although some information may remain in VDMBIM's systems.
Where the Site provides links to third-party platforms, or permits third parties to sell through the Site, you acknowledge that VDMBIM makes no guarantee of any kind, express or implied, and accepts no responsibility for the content or practices of those third parties.
VDMBIM cannot guarantee or monitor that third-party products offered through the Site do not infringe the copyright or other intellectual property rights of another party, and has no legal responsibility for any such claim regarding a sale made through the Site. Products from third-party sellers, vendors, or creators participate in deals, campaigns, and promotions at VDMBIM's discretion, and pricing for such products is set in cooperation with, but ultimately determined by, VDMBIM.
VDMBIM has no control over, and no responsibility for, the content, accuracy, privacy practices, or opinions expressed in any third-party service offered through the Site, and will not and cannot monitor, verify, censor, or edit such content. By using the Services, you release VDMBIM from liability arising from your use of any third-party service.
To download or use any free products displayed on the Site, you agree to give full credit to the relevant designer or vendor each time you use their product, and to mention the VDMBIM site address, vdmbim.com.au.
VDMBIM makes, and you receive, no warranties, representations, undertakings, or guarantees of any kind, express or implied, oral or written, including any implied warranty of merchantability.
Your use of the Site is at your own risk. The Site is provided "as is," without any guarantee, express, implied, statutory, or otherwise.
VDMBIM expressly disclaims all warranties of any kind, express or implied, in connection with any service available through the Site, including implied warranties of fitness for a particular purpose, non-infringement, and any other warranty that might arise under law.
Without limiting the above, VDMBIM does not guarantee that: (i) the Site will meet your requirements; (ii) access to the Site will be uninterrupted; (iii) the quality of the Site will meet your expectations; (iv) any errors or defects will be corrected; or (v) the Site will be permitted in your jurisdiction, or that content you submit will be available through or stored by the Site, or that VDMBIM will continue to support any feature of the Site.
VDMBIM, its licensors, and suppliers have no liability, directly or indirectly, for any incidental, special, indirect, consequential, or punitive damages; loss of profits or revenue; business interruption or loss of use; cost of procurement of substitute goods or services; failure of or defects in the output; loss, corruption, or deletion of data or your content; or damages resulting from force majeure.
The overall liability of VDMBIM and its licensors and suppliers will in no event exceed the greater of (a) the amount paid or payable by you for the offering in the one-year period before the events giving rise to the liability first occurred, or (b) [AMOUNT TO CONFIRM].
These limitations on liability apply to the maximum extent permitted by applicable law, however caused and regardless of the theory of liability, whether based on contract, tort (including negligence and strict liability), indemnification, recourse, statute, or otherwise, and even if VDMBIM has been informed of the possibility of the liability, and regardless of whether the limited remedies in these Terms fail of their essential purpose. Nothing in this clause limits any consumer guarantee that cannot be excluded under the Australian Consumer Law — see our Terms of Use for how those guarantees apply to Products purchased from us.
VDMBIM offers digital products. As the Site offers non-tangible digital goods, we do not provide refunds once a digital product has been delivered, other than as required under the Australian Consumer Law. Please read each product's description carefully before purchasing.
Where you are a "consumer" under the Australian Consumer Law, nothing in this policy excludes, restricts, or modifies any guarantee, right, or remedy you have under that law — see section 8 of our Terms of Use for details.

VDMBIM is committed to keeping your data confidential and takes reasonable steps to prevent data theft and unauthorised access, implementing appropriate technologies and safeguards to protect data collected online.
When you visit the Site, VDMBIM may collect data including your IP address, contact information and email address, and additional information such as interests, preferences, or data regarding your online activity on the Site.
By accessing and using the Site, you agree that your information, including personal information, may be accessed, stored, shared, processed, and used in accordance with these Terms and our Privacy Policy. You further acknowledge that VDMBIM's Services are available worldwide, and that by accessing them your personal information may be transferred to or processed in any country in which VDMBIM operates.
While using the Site you may be given the option to consent to first-party and third-party cookies. You may disable or limit cookies in your browser, though certain aspects of the Services may then be unavailable; VDMBIM is not responsible for any effects resulting from your browser or device settings. You are responsible for complying with any laws in your jurisdiction relating to cookie disclosure.
VDMBIM will not be exposed to the password you choose for your account on the Site.
Please note that registration to the Site may be available via several social media platforms.
All messages, agreements, and other communications VDMBIM sends to you via email meet the legal requirement that such communications be in writing.
You agree that VDMBIM will send you communications via the contact information you provided at registration, including by posting news and messages on the Site and by email. You agree to keep your contact information current, and acknowledge that you may miss communications if it is not.
For clarity, subscribing to VDMBIM's newsletter will be treated as consent to receive emails from VDMBIM.
These Terms of Service, and any supplemental terms incorporated by reference, constitute the entire agreement between you and VDMBIM regarding your use of the Site and Services. VDMBIM's failure to exercise or enforce any provision or right under these Terms will not constitute a waiver of that provision or right.
If any provision of these Terms is found to be invalid or unenforceable for any reason, the remaining provisions will be unaffected, and the invalid or unenforceable provision will be deemed modified to the extent necessary to make it valid and enforceable.
These Terms of Service are governed by the laws of Victoria, Australia. Any action or proceeding relating to a disagreement or claim arising out of or in connection with these Terms must be brought before the relevant courts of Victoria, and each party irrevocably agrees to the exclusive jurisdiction of those courts. Notwithstanding the foregoing, VDMBIM may seek injunctive relief in any court with jurisdiction to protect its intellectual property or confidential or proprietary information.
