These Terms give you information about us and the legal terms and conditions relating to your use of our Platform, access to our Content, and purchase of our Products.
Whether you are a paying customer or using our free resources, we grant you the right to use our Platform, access our Content, and purchase our Products based on your subscription tier, user role, and the level of access granted to you. This licence applies for as long as you continue to pay us (on a subscription or one-off basis), or, for free resources, until the licence is revoked by us.
We own all intellectual property we have created and incorporated into our Platform and Content, unless otherwise stated or unless that content is owned by a third party. This includes rights in the design, compilation, look and feel of our website, Content, and Products, as well as all copyrighted works, trademarks, designs, software, automation scripts, and other intellectual property.
You agree not to copy, distribute, modify, reverse engineer, or make derivative works of, or use any of our intellectual property in any way not expressly permitted by these Terms. Unless we notify you otherwise, you may use our Platform and Content for your own professional or personal use but not for resale or third-party distribution.
For information about the way in which we collect, use, process, and share personal and non-personal information we may obtain about you, please refer to our Privacy Policy at www.vdmbim.com.au/privacy-policy.
You agree to keep your account information (including a current email address) accurate and up to date. You are responsible for providing true, accurate, and complete information, and for verifying the accuracy of any information you supply for your legal, tax, and compliance obligations.
The information and Content available through our Platform are provided for general informational and professional reference purposes only and are not a substitute for professional engineering, architectural, or BIM coordination judgment or advice. Your reliance on information and Content obtained through our Platform is solely at your own risk.
BIM content, Revit families, Dynamo scripts, and automation tools provided by VDMBIM are intended as starting points and may require review, adaptation, and testing for your specific project requirements. Neither VDMBIM nor providers of Content to us assume any liability or responsibility for damage or injury to you, other persons, or property arising from any use of our Platform, Content, and/or Products.
Our Platform, Content, and Products are intended for use by architecture, engineering, construction, and BIM professionals and related students. You may only purchase Products for your own professional or personal use. By purchasing Products from us, you represent and warrant that you are not doing so for resale or unauthorised redistribution.
You are deemed to have placed an order with us when you complete our online checkout process. As part of checkout, you will have the opportunity to review your order and correct any errors. Your order will be processed once payment is acknowledged via our third-party payment processing service (Stripe).
Upon successful payment, digital Products (such as Revit families, BIM content packs, or software licences) will be automatically delivered to your registered email address and made available in your VDMBIM account within approximately 30 seconds of purchase confirmation.
We may, at our discretion, refuse to accept an order if:
If we are unable to supply you with a Product within a reasonable period, we will inform you by email and will not process your order. If you have already paid, we will refund you the full amount as soon as possible.
All prices and offers are in Australian dollars unless otherwise stated and are subject to availability. Prices may change before (but not after) we accept your order.
Prices available on the website are only applicable for purchases made online through the website. Subscription pricing applies for the duration of the billing period purchased.
Unless otherwise stated, all prices on the website are inclusive of GST where applicable. In relation to any GST payable for a taxable supply under GST Law, the recipient of the supply will pay the GST subject to the supplier providing a valid tax invoice. Terms used in this clause that are defined in the GST Act have the same meaning as in A New Tax System (Goods and Services Tax) Act 1999 (Cth) as amended from time to time.
We accept payment by credit card and other methods as specified on the website, processed securely through Stripe. We do not store your credit card details. Payment is processed by a Payment Card Industry (PCI) accredited third party, which performs the financial transaction and returns the approval code to us.
We exclude any and all liability for any loss or damage (whether direct or indirect) suffered by you if your credit card is fraudulently used or is used in an unauthorised manner by a third party.
Along with our Products, you may use data, services, and applications from other companies (third-party products), such as Autodesk Revit, Dynamo, or Notion. Any third party providing such products is independent of us, and may charge you fees in addition to what you pay us. Third-party products are subject to their own terms, conditions, and privacy notices.
All VDMBIM Products are delivered digitally. Upon successful payment, your purchased Products will be dispatched automatically to your registered email address and made available within your VDMBIM account. We aim to process all digital orders within seconds of payment confirmation via our automated delivery pipeline.
Occasionally, delivery times may be affected by factors beyond our control, including third-party service disruptions, and therefore cannot be guaranteed in all circumstances. If you do not receive your download within 24 hours of purchase, please contact us at admin@vdmbim.com.au.
Title to and property in digital Products will not pass to you until you have paid all money owed to us in respect of those Products.
Data loss is an inherent risk when using any digital technology. You are responsible for maintaining your own backups of any data, project files, or configurations used in conjunction with our Platform, Content, or Products. We are not liable for any loss of data resulting from your use of our Products.
We acknowledge that our Products may come with guarantees that cannot be excluded under the Competition and Consumer Act (Cth) 2010 as amended (the "Australian Consumer Law"). If you are a "consumer" under the Australian Consumer Law, you are entitled to a replacement or a refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have Products repaired or replaced if they fail to be of acceptable quality and the failure does not amount to a major failure.
Given that our Products are digital in nature (software, BIM content, and digital files), replacements will be provided as re-delivery of the original digital Product. If a delivered Product is defective or corrupted, please contact us at admin@vdmbim.com.au within 30 days of purchase.
All Content, including any intellectual property rights in such Content (including without limitation trademarks, copyrights, software code, BIM content, Revit families, Dynamo scripts, and documentation) (referred to as "Intellectual Property Rights"), are the property of VDMBIM, our affiliates, our licensors, or the designated owners, and are protected by applicable intellectual property laws.
You should assume that everything you see, download, or access on our Platform is protected by copyright unless otherwise noted, and may not be reproduced or distributed without our written permission except as expressly provided in these Terms.
Upon purchase of a Product, you are granted a non-exclusive, non-transferable licence to use that Product for your own professional or personal projects. This licence does not permit you to:
You agree not to infringe on any Intellectual Property Rights or remove or modify proprietary notices contained in our Platform or Products.
Except as provided in our Privacy Policy, any content you submit to our Platform or to us, whether directly or through a third-party integration (User Content), may be used by us to improve our services. You retain ownership of your User Content but grant us a non-exclusive licence to use it for platform improvement and service delivery purposes.
You agree not to submit User Content to our Platform except for content that you own or are authorised to use. By submitting User Content, you warrant that you hold the necessary rights to that content and that it does not infringe any third party's intellectual property rights.
We do not endorse any User Content and reserve the right to remove any content that violates these Terms or applicable law.
To access premium Content, purchase Products, or use the BIM Coordination Platform and VDMBIM Nexus, you must create a VDMBIM account. The details you provide must be correct, current, and complete. If we believe your details are not accurate, we have the right to refuse you access to the Platform or terminate your account.
You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. We are not liable for any loss you incur as a result of someone else using your password. You agree to notify us immediately at admin@vdmbim.com.au of any unauthorised use of your account. We reserve the right to refuse account registration to any person or entity.
Your use of our Platform must be in accordance with any procedures, formats, and operating conditions we specify from time to time. You are responsible for all software, hardware, internet connectivity, and associated costs required to access or use our Platform, including Autodesk Revit licences or other third-party software dependencies.
While it is our objective to make the Platform accessible 24 hours per day, 7 days per week, the Platform may be unavailable from time to time for maintenance, updates, or other reasons. We will endeavour to provide advance notice of planned maintenance where practical. We have the right at any time to change or discontinue any aspect or feature of the Platform, including Content, tool availability, and access levels.
You agree to comply with the following:
Our Platform, Content, Products, and any links are provided on an "as is" basis and are used solely at your own risk, to the fullest extent permissible by law. We disclaim all warranties, representations, and conditions, express or implied, including any implied warranties as to fitness for a particular purpose, merchantability, title, non-infringement, results, accuracy, completeness, accessibility, compatibility, security, and freedom from computer viruses or defects.
BIM content, Revit families, and automation scripts are provided as reference tools and must be reviewed and validated by a qualified professional before use on any project. VDMBIM does not warrant that any Product will be error-free or will produce specific outcomes in any version of Autodesk Revit or related software.
Our entire liability and your exclusive remedy with respect to any dispute with us (including without limitation your use of the Platform) is to discontinue your use of the Platform.
We will not be liable for any direct, indirect, special, incidental, consequential, or exemplary damage arising from your use of our Platform, including without limitation damages for lost profits, lost data, project delays, work stoppage, software failure, or any other commercial damages or losses, even if we had been advised of the possibility thereof.
To the extent liability cannot be excluded under Australian Consumer Law, our maximum liability will be limited, at our sole discretion, to either:
You agree to defend, indemnify, and hold harmless VDMBIM and our affiliates, officers, directors, employees, and contractors from any demands, claims, damages, liabilities, expenses, or harms, including legal fees, arising in connection with your use of our Platform, breach of these Terms, or dealings or transactions with other persons resulting from your use of our Platform, Content, or Products.
Our Platform may contain, as a convenience to you, links and other information submitted by third parties over whom we have no control. We have no obligation to monitor or control third-party websites accessible via links on our Platform. We are not responsible for the accuracy, copyright compliance, legality, or any other aspect of the content of such third-party sites. The inclusion of a link does not imply endorsement by VDMBIM.
Our Platform integrates with or references third-party tools and services including Autodesk Revit, Dynamo, Notion, Google Drive, Stripe, and others. These integrations are subject to the respective terms and conditions of those third-party providers.
From time to time, in connection with your use of or access to certain areas of our Platform or Products, it may be necessary for you to consent to additional policies or terms and conditions. You should read any such additional terms carefully before making use of that Content or area of the Platform. Such additional terms will not vary or replace these Terms unless otherwise expressly stated.
VDMBIM Nexus, the BIM Coordination Platform, may be subject to additional end-user licence agreement (EULA) terms provided at the time of installation or activation.
With respect to any and all disputes arising out of or in connection with our Platform, Content, Products, or these Terms, you agree to negotiate in good faith with us and undertake reasonable efforts to cooperate in order to achieve a mutually satisfactory resolution.
These Terms will be governed by and construed in accordance with the laws of Victoria, Australia. Each party irrevocably and unconditionally submits to the exclusive jurisdiction of the courts of the State of Victoria and its appellate courts and waives any right to object to proceedings being brought in those courts.
These Terms constitute the complete agreement between you and us with respect to their subject matter and supersede any prior agreement or communication. These Terms are subject to change from time to time. We will endeavour to post a notice of any changes for a period of 30 days following any such modification.
You are advised to review these Terms periodically. Your continued use of our Platform following notice of any modification will constitute your acceptance of the modified Terms.
If any term or provision of these Terms is found to be invalid, illegal, or otherwise unenforceable, such finding will not affect the validity of the remaining provisions. The invalid provision will be deemed modified to the extent necessary to render it enforceable, and the rights and obligations of both parties will be construed accordingly.
We will not be liable for any delay or failure to perform under these Terms if such delay or failure is due to any circumstance beyond our reasonable control, including but not limited to internet outages, third-party service disruptions (including Autodesk, Stripe, DigitalOcean, or other platform providers), natural disasters, or government actions.
We reserve the right to refuse to supply Products ordered by you, terminate our contract with you, or suspend or terminate your account at our sole discretion, including but not limited to cases of breach of these Terms, fraudulent activity, or misuse of our Products, without incurring any liability to you beyond any refund of prepaid unused subscription fees (at our discretion).
You may not assign, sub-license, or otherwise transfer any of your rights under these Terms, whether in whole or in part, without our prior written consent. VDMBIM may assign or transfer its rights and obligations under these Terms as part of a merger, acquisition, or sale of assets.
If any provision of these Terms is found by any court of competent jurisdiction to be invalid, the invalidity of that provision will not affect the validity of the remaining provisions, which will continue in full force and effect. Only the parties to these Terms may seek to enforce them.
Words like 'include' and 'including' are not words of limitation. Where anything is within our discretion, we mean our sole and absolute discretion. A failure by either party to exercise or enforce any right under these Terms does not constitute a waiver of that right.
